SENECA TREATIES & LAND USE — PHASE 2, IT-R01

Gaming Compact and November 2006 Buffalo Agreement

Public-Source Research Checkpoint — October 18, 2026

Golden Eagle Studios LLC

STATUS: IT-R01 ACTIVE — INTERIM RECORD; OPERATIVE 2026 COMPACT STATUS NOT YET CERTIFIED

EXECUTIVE FINDINGS

1. The City of Buffalo, Seneca Gaming Corporation, Seneca Erie Gaming Corporation, and the Seneca Nation (for specified limited sections) entered an agreement reported effective November 9, 2006. The contract’s operative text, signed in the SEC execution-version exhibit, has now been retrieved and read. Exhibit 10.1 identifies original approximately nine-acre Buffalo Creek Territory and conditional treatment of the Fulton Street segment. [B01–B03]

2. Section 9(c) states the Nation/Corporation's intention, consistent with the Compact, that apart from the existing Seneca Buffalo Creek Territory, no additional City of Buffalo land would be acquired using the Settlement Act mechanism to implement requirements for construction of their Class III gaming operation, including successor Compact requirements. This language is not a general prohibition on all further Nation acquisitions, but its full operation is a legal question. [B01 §9(c)]

3. Section 9 expressly characterizes its declarations as intentions, generally without reciprocal legal obligation except where the Agreement otherwise expressly provides. Section 11(l) nonetheless preserves §9(c) beyond termination or expiration, and §11(j) gives the Compact priority if its terms conflict. Interpretation of any binding effect must reconcile all three provisions, the governing law, later amendments and actual circumstances. [B01 §§9, 11(j), 11(l)]

4. Section 10 establishes notice/good-faith negotiation followed by arbitration, with remedies largely limited to specific performance and potential termination for material breach. Section 10(i) waives sovereign immunity for narrow purposes of compelling arbitration or enforcing an award in the Western District of New York. It is not a general waiver for construction, land-title or nonparty claims. [B01 §10]

5. The 2023 Nation–New York compact amendment received federal approval effective December 22, 2023; federal notice states that it extended the existing compact through March 31, 2024, with subsequent automatic 90-day extensions and escrowed state contributions. The amendment does not independently establish whether an opt-out, replacement, successor compact or other subsequent notice altered obligations as of October 18, 2026. [B05–B07]

6. October 2026 coverage reflects differing public positions on a new agreement-in-principle. The Seneca Nation's leadership described a framework without revenue-sharing; the governor's office said no final agreement was in place and talks continued. News reports are corroborative context, not executed instruments or federal approvals. [B08–B09]

7. IT-R01 is not complete until we verify the full original Compact and each amendment/extension, any effective successor and notice, the City's executed agreement with any appendices and amendments, and the operative performance/dispute context. This record is a substantive source interpretation checkpoint, not a final contractual enforceability or gaming opinion.

PART I — 2006 BUFFALO INTERGOVERNMENTAL AGREEMENT

Identity and parties. The SEC exhibit is headed an execution-version agreement with signed names for Mayor Byron W. Brown, gaming corporation executive John Pasqualoni and Nation president Barry E. Snyder Sr. The Seneca Nation is expressly a party only for §§4(a), 8, 9(c), 10 and 11, subject to §§1–3. Do not extend Nation party status to every corporation obligation. [B01, preamble/signature page]

Effective date. §2 conditions effectiveness on City approval/signature, corporation/SEGC approvals, BFSA approval and Nation Council approval. The SEC Form 8-K/November 9 disclosures describe those approvals/effectiveness; confirm the final signed and appendix-complete contract if a future enforcement question arises. Although the SEC contract header includes an unfilled October date, the 8-K record identifies November 9, 2006 as the operative public approval event. [B01 §2; B02; B03]

Definitions and land. §1(t) defines the original Buffalo Creek Territory as approximately nine acres owned by the Nation in restricted-fee status, bounded by Perry Street, Marvin Street, South Park Avenue and Michigan Avenue. The Fulton Street Section is to be included only if converted to restricted-fee status under federal law. The separate Fulton Street payment is defined as $631,600 under §1(i). Neither definition proves subsequent execution, current SBL composition or federal conversion of the street land. [B01 §§1(i), 1(j), 1(t), 6]

Contract term. §3 ties termination to Compact termination/expiration, including automatic renewal and agreed renewal periods, while preserving amounts owed and remedies for prior breaches. Later §11(l) expressly states that §9(c) survives even upon termination. The relation to the 2023–2026 extension scheme is a pending legal interpretation. [B01 §§3, 11(l)]

Municipal relationship. §4 includes Nation's defined contribution to discussions about the City's host-community share, City service matters and collaboration. §5 addresses environmental cooperation; §§6–7 contain Fulton Street / infrastructure commitments. Actual performance, payment, later instruments and City/Nation departments' 2026 capacity are not verified here. [B01 §§4–7]

Section 9(c) scope. The clause addresses City of Buffalo land acquired utilizing the Settlement Act to implement Compact or successor Compact construction requirements for Class III gaming. The clause should not be applied indiscriminately to non-gaming parcels, acquisitions outside Buffalo, ordinary-fee transfers, or unrelated development. Whether a disputed parcel activity implicates the condition requires the actual land interest, use, Compact and any relevant amendment. [B01 §§9, 11]

Section 9 preamble and survival tension. §9 introduces parties' statements as intentions rather than enforceable obligations absent another express obligation; §11(l) preserves a §9(c) provision beyond termination; §11(j) says the Compact controls conflict; §11(h) requires signed written amendments. A careful legal opinion must construe all clauses and any subsequent documents together. No conclusive waiver of land-acquisition powers or binding covenant is determined here. [B01 §§9, 11(h), 11(j), 11(l)]

Dispute resolution and sovereign immunity. §10(b) calls for negotiation on dispute notice; §10(c) allows binding arbitration after a specified notice/meeting period; §10(f) adopts AAA Commercial Arbitration Rules by default; §10(h) limits remedies to specific performance or termination depending on materiality; §10(i) allows federal proceedings to compel arbitration or enforce an arbitration award, with limited corresponding sovereign-immunity waiver. This is not an open-ended general City court jurisdiction or damages waiver for any future contract. [B01 §10]

Tax/assignment. §11(k) states the agreement confers no City or State power to levy taxes or assessments against Nation entities; it does not alone resolve every state or local tax incidence on different actors and transactions. §11(d) limits assignment without other parties' consent, while §11(f) is a limited choice-of-law provision for the contract. [B01 §11]

Appendix completeness. The public Exhibit 10.1 text references Appendices A through E (including Fulton right of way, improvements and Casino definition); the accessed HTML does not display all original actual mapping/attachment details. Treat exact plans and full appendices as unverified until an official signed set or complete original SEC attachment is obtained.

PART II — NATION–NEW YORK GAMING COMPACT: 2002 THROUGH 2026

Baseline. The Nation's official compact page provides downloads for the 2002 Compact, 2023 extension and Appendix A definitions. The 2006 contract itself defines 'Compact' as the August 18, 2002 Nation–State compact and amendments, effective after 2002 Federal Register publication. Review of all original definition and amendment text remains required before an operational legal conclusion. [B01 §1(f); B04]

December 2023 amendment. A Bureau of Indian Affairs Federal Register notice effective December 22, 2023 confirms federal approval of the amendment extending the then-existing Compact to March 31, 2024, with subsequent automatic 90-day extensions. During extensions, revenue-sharing contributions would be escrowed for allocation after agreed or other described dispute-resolution outcomes. The original amendment's exact termination, renewal and notice conditions should be checked from the published PDF. [B05–B07]

Current status as of research cutoff. Contemporary October 2026 reporting describes ongoing disagreement over whether a framework for a new Compact has been reached, especially revenue-sharing treatment. The same reports suggest continued 2002/2023 extension arrangements, but we have not verified the latest formal notice, unilateral opt-out status, 2026 executed successor Compact, State approval, DOI submission or federal approval. Therefore this memo does not certify a currently operative Compact version. [B08–B09]

Host revenue. Section 4 of the 2006 contract and 2023 federal approval describe host compensation and escrow, but that historical framework is not proof of current host-community receipts, escrow balance or 2026 City entitlement. Verify State and Nation official current records and applicable law before use in budgets or financial modeling.

Legislative status. An introduced New York 2023 bill supporting compact amendments had legislative changes and a stricken status. A proposed bill is not proof that a particular Compact amendment became law or received IGRA approval. [B10]

PART III — 2026 BUFFALO PROPERTY IMPLICATIONS

Original casino territory. The SEC 2006 agreement and the Second Circuit's 2015 reported court decision address the historic approximately nine-acre Seneca Buffalo Creek casino tract. Their description is not evidence that all downtown assessed Seneca parcels share federal status. Compare full 2005 deeds and federal exhibit boundaries with modern SBLs. [B01 §1(t); B11]

5 Miami and 124 Chicago. The City contests a 2023 reported federal designation in a separate APA action. The SEC 2006 agreement §9(c) may be relevant to land acquisition/gaming interpretation depending on intended use, but the 2023 federal designation's text, 2022 deed schedules, present activity and applicable Compact remain unverified. A 2006 contractual statement cannot alone adjudicate the DOI administrative decision or City zoning authority. [IT-R02 checkpoint; B01]

212 Ohio. The 2026 roll's Franklin Terminals assessment owner and prior sale-contract report do not establish a Nation acquisition. The §9(c) question cannot be resolved without actual closing title, intended activity and legal classification. [IT-R02 checkpoint]

Fulton Street. Contract §6 speaks to a separately defined portion of Fulton Street and a conditional federal restricted-fee conversion. A possible municipal quitclaim, later transfer, actual federal conversion and 2026 SBL allocation require recorded source documents and official federal status evidence before being depicted as part of the restricted-fee territory. [B01]

PART V — NEXT WORK AND ACCEPTANCE GATES

IT-R01 completion requires: (1) verified consolidated 2002 compact and 2023 and post-2023 amendments; (2) current status including renewal/termination; (3) agreement 2006 appendices and later amendments; (4) clauses matrix for operative commitments and financial effects; (5) careful notice/dispute/waiver and enforceability qualification; (6) new cited summary and open-issue updates in the canonical Drive workbook and report; (7) publication QA after approval.

Cross-workstream dependency: IT-R02 must continue retrieving actual 2022 deed 11411/1675 and 2023 DOI decision for 5 Miami and 124 Chicago, and 2005 casino tract-to-SBL crosswalk. IT-R07 should later inspect the actual Fulton Street deeds, public utilities and City services performance.

No purchase, paid title/court record, counsel or external contact is authorized by this memo. Research continues within accessible public sources until a separate approval is provided for expenses and parties.
